Terms of Use/Agreement Upon Enrollment in the Awakening Live Event - Whistler 2019

Section A;

Agreed Terms Between

(1)

Jennifer Jayde International Inc. (referred to herein as “JJI”) as

JenniferJayde.com

6579 Jenkins Rd.,

Nanaimo BC, V9T 6H7 Canada and;

(2)

The guest of Jennifer Jayde website or online platforms, and/or purchaser/

subscriber of Jennifer Jayde programs or retreats (collectively referred to herein as “the Retreat”) by Jennifer Jayde, aka

“the Client” (who must be at least 18 years old at the time of booking)

You are making a bold, brave move forward today on behalf of your Self, Your Life, You SOUL - and all those you desire to inspire and uplift along the way!!!
It is by no accident that you find yourself here today (because there are no accidents!) and nothing lights me up more than a woman who’s willing to move beyond what’s comfortable and TRUST HER SOUL.

We’re going to have the most INCREDIBLE, magical, healing, beautiful soul awakening adventure together in Whistler!!!!!!!!

Below you’ll find our agreement with respect to our Awakening Live Event in Whistler April 2019. Essentially we are asking that you only join us if you are committed to being there with us, and this is a priority for you. Due to the nature of retreats, and the expenses/costs involved to organize in advance, and the very limited spacing inside the Retreat, all payments are final, no exceptions. However, should something happen and you’re suddenly unable to join us in Whistler, you do have the ability to sell your space to another woman that would like to join us in your absence. This would be your responsibility to sell your space, and would incur a $100 Transfer of Name fee to JJI in addition to any unpaid balance still due. *However, let us know at your earliest if you plan to sell your space, and if our 11 spaces are already sold out and we have reached Waitlist Status, we will attempt to help you sell yours by sharing the last minute availability with our audience. By entering this agreement, you are responsible for the full balance of the live event regardless of whether or not you sell your space to a JJI approved Live Event Applicant (you would be arranging for the new applicant to pay YOU directly, while you continue to pay your balance due to JJI, if applicable). JJI reserves the right to approve or disapprove of any proposed replacement Live Event applicants.

If you chose the instalment plan, all instalments are final and your balance is agreed to be paid in full when purchasing your space in the Live Event. In the event of cancellation, the selling or transferring of your spot, the payment of any remaining balance due in it’s entirety is still your responsibility (as well as the $100 USD Name Transfer fee being paid to JJI as described above), and further action will be taken should you not completely pay your balance in full as shown at registration checkout, which may effect your credit score and future ability to apply for loans, credit, purchases, etc.

Instalments are due every 30 days from the date of checkout/registration until balance completely paid in full. Late payments are subject to an NSF Fee of $50 USD per day, per late transaction. If you fail to complete your monthly instalment within 7 days of it’s monthly due date, you agree to forfeit your space and any previously paid dollar amounts and JJI reserves the right to re-sell your space at full rate to a new Live Event participant and retain those earnings in full. The best way to mitigate any consequences from delays in payment is to openly communicate with JJI in advance (email info@jenniferjayde.com immediately), rather than to avoid communication with us. Avoidance will lead to the above actions being immediately taken, whereas with open communication at least there’s a chance perhaps a mutually viable solution can be found. Even with open communication, JJI reserves the right, and the Client agrees, to adhere to and enforce all described terms and conditions within this entire Agreement.

Essentially, please only commit if you are committed, know that you will be still be held responsible if you wish to cancel, but there are ways we can work with you to mitigate your costs and fees from cancelling, time permitting and once we have filled our own 11 paid spaces, reaching Waitlist Status :)

You also take responsibility for your own health, safety, insurance, and liability for yourself, your safety, and damages, injury or death related to yourself or others connected to your actions. We strongly urge you to purchase adequate Traveler’s Health Insurance and Liability Insurance as described under the Insurance section below. You may also want to consider Trip Cancellation Insurance and/or Car Rental Liability Insurance.

Neither JJI nor Jennifer Jayde Spencer personally will be held responsible for any injury, theft, bodily harm, injury, illness, fines, damages, death, or any other liability that you experience, or cause, before, after, or during our retreat together.

You agree to enter into this agreement and legally abide by every part of it, and to join the Awakening Live Event 2019 at your own risk and responsibility.


Please note: Your booking is not confirmed until we receive payment and our team confirms your booking via email. The contract between us comes into existence at that time. You undertake to pay for the retreat you have booked, and we undertake to provide you with the Live Event we describe on our website.



Section B; Important Notes:

(1) Cancellation Policy: The Client agrees that all sales are final. There will be no refunds or reimbursements of any kind - no exceptions. Client does have the opportunity to sell her space to a new qualified (JJI approved) Live Event Guest, subject to JJI approval and a $100USD Name Transfer fee paid by Client to JJI. JJI will continue to receive payment in full, and on time, from the original Client until full complete balance of Live Event is paid in full from the original Client directly. Client will make her own arrangements with whomever she’s sold her space to, to receive payment from, and this has no bearing on her agreed responsibility to pay JJI in full for her Live Event space. Even if Client chose the Instalment option, Client is still responsible to pay all remaining instalments due until balance is paid in full, and can collect the equivalent (or agreed dollar amount between Client and Approved Replacement Client) from the person they have sold their space to, upon JJI approval in writing and $100USD Transfer Fee Paid by Client to JJI. To be worry free - Please do not purchase this Live Event Space if you are not committed to being in Whistler with us, and you won’t have to worry about selling your space at all :-) JJI encourages you to explore travel insurance in the event of an emergency, you may be able to have your live event booking costs covered (we recommend you confirm this with your Travel Insurance provider prior to purchasing the insurance policy).

(2) All instalments (if instalment option selected) are due in full and completion (no exceptions) on their due dates (every 30 days from date of purchase until full balance of Live Event paid). Late payments are subject to an NSF Fee of $50 USD per day, per late transaction. If you fail to complete your monthly instalment within 7 days of it’s monthly due date, you agree to forfeit your space and any previously paid dollar amounts, and JJI reserves the right to re-sell your space at full rate to a new retreat participant and retain the Full Tuition Fee from the new replacement Client. The best way to mitigate any consequences from delays in payment is to openly communicate with JJI in advance (email info@jenniferjayde.com immediately), rather than to avoid communication with us. Avoidance will lead to the above actions being immediately taken, whereas with open communication at least there’s a chance a mutually viable solution can be found. Even with open communication, JJI reserves the right, and the Client agrees, to adhere to and enforce all described terms and conditions within this entire Agreement.

(3) It is recommended you print and keep a copy of these terms and conditions

as they will not be filed and may change from time to time

(4) These Terms should be read in conjunction with our Privacy Policy found

online at jenniferjayde.com

Please note that the Live Event Location is mostly designed for shared accommodations, though there are a small amount of upgraded private rooms available if you book early enough. The more open you are to connecting with new soul sisters, the greater your experience will be. Please only book this experience if you are open to making new soul sisters and sharing a temporary sleeping space (bedroom).


Section C; Live Event

(1)

The Live Event will be provided over the course of time described in the description at Registration. JJI is committed to offering the Event on these dates and as described at registration, and will do everything within their power to hold this event as planned. However, due to the reliance of 3rd parties in order to host (the Event Location, the Caterer, International Laws, Acts of God such as Dangerous Weather, Rental Vans, Tour Guides, Flights, Currency, Borders, the Health of Jennifer Jayde personally, etc), should something occur that prevents JJI from holding this Retreat on the Specified Dates or in the way originally described at registration, JJI reserves the right to offer amended dates, schedules, excursions, location, or send a replacement host of equal or greater training other than Jennifer Jayde herself. There will be no reimbursements or refunds given. We are not liable to you in any circumstances for loss or damage or loss of your holiday when: -Unusual and unforeseeable circumstances arise which are beyond our control, the consequences of which we could not have avoided even with all due care; or -The change is not significant. We are not liable to pay you any additional travel or any other costs, expenses or losses which you incur as a result of any change or cancellation by us, such as changes to times of connecting flights or other travel arrangements; or -Any transport, e.g. flight, or additional costs or payments made by you in relation to your booking.

(2)

The Live Event activities, details, times and important information will be sent to you via the email address you registered with. Please do not unsubscribe from any of our emails, as you will no longer receive vital details regarding the Live Event, and continually check spam/junk/promo folders for possibly filtration by your email provider. We do not assume liability for any information you miss out on as a result of missing emails. If you feel you’re not receiving adequate information in a timely manner, it is your responsibility to reach out to us at info@jenniferjayde.com

Souvenirs and Extra Curricular Activities outside of our itinerary and dietary needs beyond our menu will be the responsibility of the attendee. We will provide as much notice as possible of any changes, but are not liable to you in any way for such change to dates and times. Please check email regularly for changes to dates and times (and ensure no emails have been filtered by your spam, junk, or promotions folder).


(3)

The Live Event Tuition includes (but is not limited to) Personal Coaching in a Group Live Event Setting for 2+ days, 3 nights accommodation, 3 Complimentary Breakfast Bars hosted in our Kitchen. A photographer capturing the event and our time together with access to the link of digital photos. Subject to change at anytime with or without notice.


(4)

What’s NOT included; Roundtrip airfare, shuttle to/from the Live Event Location, all other costs incurred before you arrive and after you leave the Live Event Location -Travel insurance, Health Insurance, Liability Insurance and/or any other insurance personal to you - Passport and visa costs -Vaccinations and medication, before, during and after the Live Event -Food and drink over and above what we include in the Live Event Breakfast Bar - Gratuities you choose to give. If circumstances force you to leave the Live Event early, you will have to bear any additional costs yourself.


(4)

The option to not participate in any of the Live Event events will not result in a reimbursement or reduced price point whatsoever.


(5)

Souvenirs and Extra Curricular Activities outside of our itinerary and dietary needs beyond our menu will be the responsibility of the attendee.





Section D; Payment

(1)

The total price payable for the program is as set out in the summary of

Live Event description on the Awakening Live Event registration and checkout page.


(2)

You may choose to pay by instalments or in one lump sum and the total

price payable shall depend upon which you have chosen.


(3)

If you choose to pay in instalments a 1st instalment retainer of the amount set out on the Retreat checkout page is payable on registration for the program. You will

then be automatically charged for your remaining instalments every 30 days

until the total price payable has been paid. Such invoices must be paid within

7 days of the date of that invoice to avoid penalties or the forfeiture of your Retreat space.

(4)

Should you choose to drop out of the program you are still legally

obligated to make all instalment payments as agreed upon registration of the

program.

(5)

(6)

The balance must be paid in full at latest 7 days before departure. We will send you a reminder 1 - 2 weeks before the balance due date. For bookings made within 7 days of departure, we require payment in full.





Section E; Recording, photography and

filming

(1) We may wish to record, photograph or film the Live Event, a programme/event and

reserve the right to do so for the purpose of future Live Events, programmes/events and/or

promoting future Retreats, programmes/events

or otherwise.

(2) You consent to us recording, photographing or filming (“Recordings”)

you without any fee payable to you (other than as set out below). This

consent includes Recordings of your participation in our live events,

webinars, online courses, offline courses, presentations

and otherwise (“participations”)and includes your past, present and

future participations.

(3) You acknowledge and agree that we shall be entitled to edit, copy,add

to, adapt or translate the Recordings at our discretion and, in respect of

the Recordings, you hereby irrevocably waive in favour of us, our assignees

and licensees the benefit of all moral rights and performers 'rights arising under

the Copyright, Designs and Patents Act 1988 or similar rights arising under

the laws of any jurisdiction.


(4) You agree that we may use such Recordings of you for purposes

including (without limitation) promotion of future Retreats, programmes, events and/or

courses and to create content for future Retreats, programmes,events and/or courses.



Section F; Warranties, Representations and Guarantees



(1) All warranties and representations are excluded to the fullest extent

permitted bylaw. Due to the nature of coaching and the fact that your

success is dependent on a number of factors over which we have no

control, we do not guarantee any particular results.



(2) We will endeavour to ensure that all information that we provide is

accurate and up-to-date but we shall not be liable for any claims arising from

such information being inaccurate or not up-to-date or otherwise.



Section G; Intellectual Property



(1) We are the owner or the licensee of all Intellectual Property Rights and

all other rights in the Live Event/Programme and all content within the Live Event/Programme and

nothing in these Terms or otherwise shall operate to transfer the ownership

of the Intellectual Property Rights in the Retreat/Programme or the content of the

Live Event/Programme to you or to any other person.



*Please do not use JJI content as a basis for creating and selling your own courses, events, programs or retreats.


(2) You may not at any time copy, reproduce, publish in any form, share,

sell, dispose of or otherwise make available to a third party in any way any of

the content or materials contained in the Live Event/Programme.


(3) We grant to you a limited, non-exclusive, non-transferable, non-sub

licensable revocable licence to use all or any of the content of the Live Event/Programme for

the purposes for which the Live Event/Programme were provided only.


(4) You may not use any of our intellectual property rights at any time

except where duly licensed. Use of our logo is strictly prohibited without our

prior written consent


(5) We may from time to time record the Live Event/Programme being delivered during

your attendance. You authorize us to use your image and voice in any such

recordings without payment, other condition

or need for further consent.


(6) You acknowledge that certain information contained in the Live Event Programme

and Live Event Programme materials is already in the public

domain.



(7) You are not permitted to sell or promote products or services to other

participants in the Live Event Programme at or during any part of our Live Event Programme without

our prior written permission.


(8) The provisions of this Section E shall survive termination of the

Contract



 

OUR LIABILITY

We want you to enjoy an incredible Live Event with JJI. We shall do our best to make your Live Event experience special for you. Nonetheless, we must make clear the limitations in law.

The material displayed on our site is provided without any guarantees, conditions or warranties as to it’s accuracy. To the extent permitted by law, we hereby expressly exclude:

  • All conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity.

  • Any liability for any direct, indirect or consequential loss or damage incurred by any user in connection with our site or in connection with the use, inability to use, or results of the use of our site, any websites linked to it and any materials posted on it (whether by us or a third party), including, without limitation any liability for:

  • loss of income or revenue;

  • loss of business;

  • loss of profits or contracts;

  • loss of anticipated savings;

  • loss of data;

  • loss of goodwill;

  • any and all medical issues, expenses, liabilities

  • wasted management or office time; and for any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.

  • Any event which happens before you arrive at the Live Event location or after you leave

  • Any problem arising from your failure to reach the Live Event location on time, for whatever reason

  • The quality of the yoga teaching, treatments, or workshops you experience on your JJI Retreat

  • Any aspect of goods or services you buy or accept other than those arranged by us

  • Medical problems or physical difficulties, even if you have told us about them in advance

  • Medical emergencies

  • Your own carelessness or negligence in any aspect of your behavior while with us

  • Changes we reasonably make to an itinerary or to accommodation or any other aspect of the management of a Live Event

  • Problems or issues which we could have resolved while on an excursion or tour, but which you raise only after your return

  • Injury, illness, death, loss (including loss of enjoyment or possessions), damage, expense, cost or other sum or claim of any description whatsoever which results from either

  • Services not provided by JJI directly

This does not affect any liability which cannot be excluded or limited under applicable law.

We offer no professional legal, medical, psychological or financial advice. By purchasing any product and/or services of Jennifer Jayde International Inc. you accept, agree and understand that you are fully responsible for your progress and results from your participation and that we offer no representations, warranties or guarantees verbally or in writing regarding your results of any kind. You also understand that any testimonials or endorsements by our customers or audience represented on our programs, websites, content, landing pages, sales pages or offerings have not been evaluated by us and the results experienced by individuals may vary significantly. Any statements outlined on our websites, programs, content and offerings are simply our opinion and thus are not guarantees or promises of actual performance. 

We do not guarantee that you will get any results or earn any money using any of our ideas, tools, strategies or recommendations, and in no way is our content a promise to or guarantee of future earnings. When addressing financial matters in any manner on our website and/or membership and/or social media site(s) or any other affiliated content, we’ve taken every effort to ensure that we have accurately represented our programs and their ability to improve your life. 

We make no representations or warranties concerning any treatment, action, or application of medication or preparation by any person following the information offered or provided within or through us. In particular, you should regularly consult a doctor in all matters relating to physical or mental health, particularly concerning any symptoms that may require diagnosis or medical attention.   You alone are responsible and accountable for your decisions, actions and results in life, and by your use of our content, you agree not to attempt to hold us liable for any such decisions, actions or results, at any time, under any circumstance. Neither we nor our partners, or any of their affiliates, will be liable for any direct, indirect, consequential, special, exemplary or other damages that may result, including but not limited to economic loss, injury, illness or death.

With consistent action and an open mind, you can make life-changing strides in your life towards your goals. However, as with anything in life, there are no guarantees and your success is dependent on your effort outside of the Jennifer Jayde Int'l Inc coaching, courses and Retreats.

 

Health Policy

All registrants are required to inform JJI of any mental or physical risks or disorders prior to registration for the Live Event, and every Client is advised to seek medical advice and clearance prior to travel. This is a non-smoking event (including e-cigarettes) and if any participants wish to smoke or vape, they are obliged to do it off the property.

Physical Activity: All Live Event Clients that participate in the Live Event, classes, and/or excursions do so at their own risk and must employ their own judgement as to which movements, positions and exercises are appropriate for their level of training and experience as well as mental stability. YOU are responsible for your safety. Discretion is to be utilized for personal well being and the well being of those around you.

JJI is not liable for any injuries to the client in participation in activities (on or off site). You need to have your own travel insurance and bring the details with you in case of an emergency. You should also check with your doctor that you are sufficiently fit and healthy to undertake yoga classes and any other physical activity we have arranged or you may arrange during your Live Event/holiday. A client must always inform the Live Event Leader/JJI/Teacher and/or Tour Guide of any previous injuries. If you experience any injury or discomfort during any activity organized for you, then you must desist immediately and advise your host accordingly.


Insurance + Fines

Live Event Registrants/Clients will be held liable for any damage of the accommodation facilities. It is recommended that each registrant takes out an individual public liability insurance policy and also arranges international health insurance and travel insurance prior to taking part in the Live Event.

You also take responsibility for your own health, safety, insurance, and liability for yourself, your safety, damages, injury or death related to yourself or others connected to your actions. We strongly urge you to purchase adequate Traveler’s Health Insurance and Public Liability Insurance. You may also want to consider Trip Cancellation Insurance and/or Car Rental Liability Insurance.

Potential Fines incurred by the Client will be promptly paid by the client to JJI or Event Location directly within 24 hours of incurring them.

The client shall keep all fixtures, fittings, furniture and effects of the Live Event Location where the Live Event will be held at in a clean and good condition and shall replace any articles, which are destroyed, damaged or missing with articles of a similar kind and of equal value as allowed by the Retreat Center. JJI reserves the right at it’s sole discretion to terminate use of the property or any of it’s facilities, even the entirety of the Live Event itself, by the client in the event of any breach of these terms and conditions. The client will be required to vacate the property and JJI shall not refund payment nor accept any consequential liability damages or loss.

Neither JJI or Jennifer Spencer personally will be held responsible for any injury, theft, bodily harm, illness, incurred fines, damages, death, or any other liability that you experience, or cause, before, after, or during our Live Event together.


Passport + Visa

Please note carefully: To be safe, it is imperative to make sure your passport is valid for at least six months after the date of return of your Retreat. Remember to apply for any necessary visa in good time. Check with your physician what vaccinations and medication you may require and allow time to obtain them.

By purchasing your space at the Awakening Live Event Whistler 2019, you (the Client) hereby agree to enter into this agreement and legally abide by every part of it, and to join the Awakening Live Event Whistler 2019 at your own risk and responsibility.
